User Obligations

• Not use our services for any unlawful or fraudulent purposes
• Provide timely feedback and approvals for content creation
• Grant necessary permissions and access to your social media accounts

Payment and Billing

Payment terms will be specified in your service agreement. General terms include:

• Fees are based on the scope of services outlined in your quote or agreement
• Payment is due according to the payment schedule in your agreement
• Late payments may result in suspension of services
• All fees are non-refundable unless otherwise stated in your agreement
• Additional services requested may incur extra charges

Intellectual Property Rights

Client Content

You retain ownership of any content, materials, or information you provide to us. By providing content, you grant us a limited license to use, modify, and distribute such content solely for the purpose of delivering our services.

Created Content

Upon full payment, you will own the rights to content created specifically for your business. We retain the right to showcase work in our portfolio unless otherwise agreed in writing. Templates, methodologies, and proprietary tools remain our intellectual property.

Content Approval and Representation

All content created for your business will be submitted to you for approval before publication. You will have final say on all content posted to your social media accounts. We prioritize proper representation of your business and brand values.

Service Guarantees and Disclaimers

While we strive to deliver excellent results, we cannot guarantee:

• Specific follower growth or engagement metrics
• Viral content or guaranteed reach
• Algorithm changes or platform policy updates beyond our control
• Third-party platform availability or functionality

We commit to using industry best practices and transparent communication throughout our partnership.

Limitation of Liability

To the maximum extent permitted by law, Ember Social shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.

Termination

Either party may terminate services according to the terms specified in the service agreement. Generally:

• Termination requires written notice per the agreement terms
• You remain responsible for payment of services rendered up to termination
• We will provide transition assistance as outlined in your agreement
• Certain provisions of these Terms survive termination

Confidentiality

We agree to keep confidential any proprietary or sensitive business information shared during the course of our engagement. This includes business strategies, financial information, customer data, and any information marked as confidential.

Indemnification

You agree to indemnify and hold harmless Ember Social from any claims, damages, or expenses arising from your use of our services, your violation of these Terms, or your violation of any rights of another party.

Dispute Resolution

In the event of any dispute arising from these Terms or our services:

• Parties agree to first attempt resolution through good faith negotiation
• If negotiation fails, disputes may be resolved through mediation
• These Terms are governed by the laws of the State of Missouri
• Any legal actions shall be brought in the courts of St. Louis County, Missouri

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of our services after changes constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

Entire Agreement

These Terms, together with any service agreements or proposals, constitute the entire agreement between you and Ember Social regarding the use of our services and supersede all prior agreements and understandings.
